1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and [Legal entity name], trading as "English Tactics" ("English Tactics", "we", "us", or "our"). They govern your access to and use of our websites at englishtactics.com and app.englishtactics.com, and all related products, applications, content, and services (together, the "Services"). By creating an account, making a purchase, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Services.

2. Definitions

• "Coaching" means our AI-guided English coaching for individuals, offered across Free, Plus, Pro, and Elite plans.
• "Classroom" means our smartboard teaching system for educators and schools.
• "Store" means our catalogue of digital resources and downloadable materials.
• "Assessment" means our English placement test and any associated CEFR results, including any optional third-party test we may make available.
• "Content" means any text, audio, images, exercises, feedback, and other materials made available through the Services.
• "User Content" means any content you submit, upload, record, or otherwise provide to the Services.

3. Eligibility and Age

The Services are intended for adults and for users who are at least 16 years old. By using the Services, you represent that you are at least 16 and have the legal capacity to enter into these Terms. Classroom is intended for use by teachers, schools, and educational institutions; school pupils do not create accounts and do not access the Services directly. Where a teacher or school enters information about pupils, the teacher or school is responsible for obtaining all necessary consents (see Section 10).

4. Accounts and Security

To access most features you must create an account using accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us promptly of any unauthorised use. We may refuse, suspend, or terminate accounts, and we block sign-ups that use disposable or temporary email addresses. You may not share, sell, or transfer your account.

5. The Services

English Tactics provides: (a) Coaching, including weekly plans, speaking and writing practice, scenario roleplays, and automated feedback; (b) Classroom, a teaching system that generates lessons, worksheets, and activities from teacher-provided sources; (c) the Store; (d) the Assessment; and (e) optional one-to-one video sessions ("Calls"). Some features depend on your plan and are described at the point of purchase. We may add, change, or discontinue features at any time. Certain offerings may be described as "coming soon" and are not available until released.

6. Free Trial and Free Tier

We may offer a free trial or a free tier with limited access, for example a limited number of practice scenarios per day and a limited number of plan sessions. We may modify or withdraw free offerings at any time. Misuse of free offerings, including creating multiple accounts to evade limits, is prohibited.

7. Subscriptions, Pricing, Billing, and Currencies

Paid plans and items are sold at the prices displayed at the time of purchase. Prices are shown in Tunisian Dinar (TND), United States Dollar (USD), or Saudi Riyal (SAR) depending on your region, and may be changed at any time for future purchases. You are responsible for any taxes, duties, bank charges, or currency-conversion fees that apply. We do not currently process card payments on the Platform and do not store card data; payments are completed using the methods shown at checkout, which may include local payment services, bank transfer, or other methods by region, and are confirmed manually, including via WhatsApp. Subscriptions grant access for the stated period; access ends when the period lapses unless renewed. You authorise us to apply your selected plan and its limits to your account.

8. Refunds and Cancellation

Because the Services consist primarily of digital content and instantly accessible features, all sales are final and payments are non-refundable except where required by applicable law or expressly stated in writing by us. If you believe you were charged in error or did not receive what you paid for, contact us at hello@englishtactics.com within 14 days and we will review your case in good faith. You may stop using the Services or decline to renew at any time. Where a refund is granted, it is issued using the original payment method where reasonably possible.

9. Store and Digital Products

Purchasing a Store item grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the item for your own personal or internal educational use. You may not resell, redistribute, sublicense, or publicly share digital products. Ratings and reviews you submit are anonymous and may be non-retractable. We may remove items or content at our discretion.

10. Classroom and Student Information

If you use Classroom, you are responsible for the lawful use of any source materials you upload and for ensuring you hold the rights to use them. Where you enter pupil names, scores, or similar information, you confirm that you are authorised to do so and that you have obtained all consents required under applicable law and your institution policies. As between you and us, you and your school act as the controller of pupil information and we act as your processor, handling it only to provide the Classroom features. You must not upload sensitive personal data about pupils beyond what is necessary.

11. One-to-One Video Sessions

Calls are paid in advance and scheduled through a third-party scheduling provider. If you fail to attend a scheduled Call without reasonable notice, the session may be treated as delivered. Rescheduling is subject to availability and any notice period we communicate.

12. AI-Powered Services

Parts of the Services use artificial intelligence to generate transcripts, feedback, exercises, scores, and other output. AI output may be inaccurate, incomplete, or unsuitable, and is provided for guidance and practice only. It does not constitute professional, educational, certification, immigration, or career advice, and we do not guarantee any specific result, score, level, or outcome. You are responsible for evaluating the suitability of any output before relying on it. Where a certified or third-party result is offered, that is stated explicitly.

13. User Content and Licence

You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, and adapt your User Content solely to operate, secure, maintain, and improve the Services, including by sending it to our service providers, such as our AI provider, for processing. You represent that you hold all rights necessary to grant this licence and that your User Content does not infringe the rights of others or violate any law.

14. Acceptable Use

You agree not to: (a) use the Services for any unlawful, harmful, or fraudulent purpose; (b) upload content that is illegal, infringing, defamatory, hateful, or sexually exploitative; (c) attempt to access accounts, data, or systems without authorisation; (d) probe, scan, scrape, or disrupt the Services or circumvent usage limits or security; (e) reverse engineer or copy the Services except as permitted by law; (f) resell or commercially exploit the Services without our written permission; or (g) use the Services to build a competing product. We may investigate and take action, including suspension, for any suspected breach.

15. Intellectual Property

The Services, including all software, content, designs, text, graphics, methodologies, and trademarks, other than User Content, are owned by or licensed to English Tactics and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable licence to use the Services for their intended purpose. No rights are granted except as expressly stated.

16. Third-Party Services and Links

The Services rely on, and may link to, third-party products and websites, for example hosting, authentication, AI, email, scheduling, analytics, and testing providers. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

17. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that defects will be corrected. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

18. Limitation of Liability

To the maximum extent permitted by law, English Tactics and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or related to the Services. Our total aggregate liability for all claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid to us in the three months before the event giving rise to the claim, or (b) fifty United States Dollars (USD 50). These limitations apply regardless of the theory of liability and even if we were advised of the possibility of such damages.

19. Indemnification

You agree to indemnify, defend, and hold harmless English Tactics from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your User Content, your use of the Services, or your breach of these Terms or of any law or third-party right.

20. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination, including Sections 12 to 19, 21, and 24, will survive.

21. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules. Subject to any mandatory rights you have under local law, you agree that the courts of [Emirate], United Arab Emirates, will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services. You agree to first attempt to resolve any dispute informally by contacting us.

22. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

23. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of nature, war, terrorism, civil unrest, strikes, network or utility failures, and acts of government.

24. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Services.
